General conditions related to sale of built-in INDECO CZ wardrobes

1) Orders for INDECO CZ sliding doors and niches built-in systems (areas) will be implemented through INDECO CZ Ltd. or by an authorized representative of INDECO CZ Ltd. - Hereinafter referred to as INDECO CZ.

2) The administration and implementation of the order, incl. assembly works:

2.1) A costumer can arrange the order:

a) in the premises of an INDECO CZ authorized store: there is a deposit of 10% of the preliminary price calculated by a seller which should be paid by a costumer when signing the order contract. Prior to every order booked by a costumer who asks for assembly works, it is necessary to make alignment measuring and specify the final price of the order. The alignment measuring will be made by an authorized assembler of INDECO CZ after telephone consultation with the customer. Consent to the final price of the contract will be confirmed by customer's signature. After the alignment orientation measuring, the customer should pay the second deposit (40 % of the total contract price) to the hands of the INDECO CZ authorized assembler. The customer is to confirm the arranged date of assembly by his signature.

b) by an authorized assembler of INDECO CZ: The order is signed directly in the customer´s place and is therefore directly linked with the alignment orientation measuring and calculation of the final contract price. In this case, the customer will pay the assembler an advance deposit of 50% of the contract price. The costumer is to confirm his consent to the final price of the contract by putting down his signature. At the same time, the costumer is to sign for an arranged date of product´s assembly.

2.2) The costumer is obliged to previously inform the authorized INDECO CZ assembler (who does the measuring and assembly works) about any matter that could affect the quality of INDECO CZ wardrobes assembly. For example, it concerns hidden electricity, gas, water and heating distribution networks in the walls and floors. In the case of failure to do such previous warning, INDECO CZ does not have any responsibility for any damages caused so.

2.3) Assembly

a) Assembly installation will be performed on the date which arranged with a costumer when doing the alignment orientation measurement, not later than within 3 weeks (with atypical fillings up to 5 weeks) following the advance payment of 50% deposit of the contract price. INDECO CZ reserves the right of postponing the date of assembly in the event of force majeure. In this case, the customer will be notified in writing as soon as possible. Any changes in the arranged dates of assembly must always be confirmed by costumer´s signature. After assembly installation, the customer receives an invoice for a total price of the contract (displaying also installation and VAT partial prices and any discounts provided). The contract take-over must be confirmed by the customer by his paying for remaining 50% of the contract price and signing the assembly card. Then he (the costumer) can receive a warranty documentation.

b) In the event that the customer himself does not enable the wardrobe installation process to be done on the arranged day causing this by his own fault, he then shall pay a penalty of 10% of the contract price per each day. After the expiry of 10 days after the agreed date of installation, CZ INDECO may withdraw from the contract and the already-paid deposit is considered as forfeited in favour of INDECO CZ. The customer is also obliged to pay the resulting penalty.

c) In the case that CZ INDECO does not perform the installation within contractually agreed time, then the company is liable for paying penalty of 0.1% of the contract price per each day. Such penalty begins being charged from the fifth working day on after the contractually agreed date of assembly.

2.4) The price for installation

a) The price for installation of built-in wardrobe system equals 20% of the price for the total system (e.g. all components and accessories of the built-in wardrobe). In the case that also any housing accessories and pieces of furniture (commodes, bedside tables, tables, etc.) are manufactured, then the installation price equals 15% of the price for the whole set-up system.

b) In case that the sale price balance payment is not paid properly in cash, the assembler is then allowed to dismantle and carry a built-in wardrobe or its accessories out with him to be installed later after the final price balance has been paid. Re-assembly installation of the wardrobe is subject to extra payment for damages to INDECO CZ caused by such occured extra installation, the price amount for such re-installation equals full assembly rate (e.g. 20% of the price per the whole set-up system).

c) The goods used for this installation remain the property of INDECO CZ until the act of payment for total sale price.

d) The installation price does not include works on eventual uneveness of walls, floor or ceiling in a costumer´s apartment.

3) VAT – according to § 48, Law No. 235/2004 (Coll.) relating to VAT payments in the version which has been valid since 1st January 2008 (tax rates relating to apartment buildings)

9 % VAT: the built-in wardrobe set-up systems will be installed to residential houses (apartment house, family house or apartment).

19 % VAT: the built-in wardrobe set-up systems will be installed to non-residential premises or the price will not include the assembly works.

According to § 4, letter “za“, the meaning of residential houses is the buildings intended for accommodation in which more than a half of floor surface meets the relevant requirements for accommodation standards and is intended for this purpose. The family house is a building intended for accommodation in which more than a half of floor surface meets relevant requirements for long-term family living and is intended for this purpose. The apartment is a set of rooms or one living room which with its technical arrangement and equipment meet requirements for long-term living

In case there are any apartment accessories (commodes, bed tables, tables, etc) and separately sold accessories to the wardrobes that are not a steady part of the built-in wardrobe set-up system, then the VAT rate equals 19 %.

The costumer is obliged to confirm the statement of his intention to use the built-in wardrobe set-up system by signing the order form. In the event that the customer provided false declaration concerning the place where the built-in wardrobe should be fitted and therefore caused financial loss to INDECO CZ associated with the additional VAT re-calculating, he would be obliged so to pay for such loss to the account of INDECO CZ, even including the resulting penalties.

4) If the costumer is absent in the agreed date of installation process, then the customer will have to pay a half of the rate for the installation for assembler´s re-arrival.

5) The customer confirms the service performance and receiving the goods without any reservations by paying the price and signing the assembly card. If no assembly card is given to the costumer, then the costumer may refuse to cover the service.

6) The administration and implementation of orders without assembly

The customer has the option to order products of INDECO CZ without their assembly works, such products can be purchased in INDECO CZ sale stores, in stores of authorized assemblers or directly in the network of INDECO CZ production workshops. The agreed order manufacturing works will be started after the 50% of its price have been paid and after the technical documentation drawings have been presented. The product can be picked up in the production workshop which located as written in the order documentation, the product can be picked up after paying for the remaining 50% of the contract price. When receiving the product, a customer will be provided with an invoice just for the final price of the product (without assembly, but including VAT and eventual discounts). The contracts made in this way are not subject to any extended warranty given by INDECO CZ. Delivery dead-line is 3 weeks (5 weeks for atypical fillings).

7) Reclamation

All reclamations must be done in writing form and shall be submitted in an authorized point of sale which is the appropriate place according to the area of costumer´s residence, or directly at INDECO CZ.

8) Withdrawal from the Contract

Customer may withdraw from the order within 3 days after its signing (it is not applicable in cases of 2.1b and 6). If complying with this deadline, the customer gets back his 10% advance deposit. In any other cases of costumer´s withdrawal from the contract, all customer´s deposits previously paid cannot be returned any more. INDECO CZ has the right to withdraw from the contract if the room intended for INDECO CZ wardrobe installation is particularly unsuitable for mounting. Assessment of suitability of such rooms for the installation of INDECO CZ wardrobes is fully within the competence of authorized INDECO CZ installers who perform the alignment orientation measurements.

9) Maximum lifetime of the sliding system can be achieved by keeping mechanical parts clean. Also the bottom rails must be kept clean and vacuum cleaned at least once a month.

10) In case of using natural materials such as veneer, solid wood, etc., it is not possible to guarantee the same colour tone and draw-structure on all wood surfaces.

11) CZ INDECO provides a 5 year warranty for the sliding system. The warranty means that defective goods will be replaced. INDECO CZ is not responsible for damages that are not directly linked to the nature of goods or service that has been carried out.
